1. Contract and Conditions
​
The following terms and conditions (“Conditions”) form the basis of the agreement made between you, the valued customer (hereinafter referred to as “Customer”, “you” or “your”) and Michi & Co. Pte. Ltd. (hereinafter referred to as “MCPL”, “we”, “us” or “our”) (“Contract”). It is important that you read the Conditions and the Contract carefully to make sure you understand your rights and obligations. Additional terms and conditions may apply to our special offers and promotions and will be included in the Contract.

1.1 By making a reservation with MCPL and/or paying part or full of your tour price, you are deemed to have read, understood, and confirmed acceptance of the Conditions and the Contract.

1.2 When you make a reservation and/or payment on behalf of another traveller(s), you represent to us that you have obtained their permission and authority to: (i) communicate with MCPL, make reservation and/or payment on their behalf, and (ii) accept and agree to be bound by the terms of the Contract with MCPL and the Conditions applicable to the booking on their behalf. For the purpose of this clause and these Conditions where appropriate and/or necessary, “you” and “your” mean the person who makes the reservation and all travellers named on a booking.

1.3 MCPL reserves the right to change, modify, insert, or delete any of these terms and conditions at any time without advance notice.

2. Reservation and Payment
​
2.1 Full payment of total tour fare is required upon confirmation of reservation, to secure the booking with our suppliers. Payment is not deemed to have been made until payments are received in full and confirmed by MCPL. All relevant banking and/or transfer charges are for the account of customer. Please note that surcharges will apply when you make payment by credit card (accepted Visa or Master card only). Payment made does not constitute confirmation of the tour, until we have received a confirmation from our suppliers, and we confirm the same to you. We reserve the right to cancel the whole or any part of the reservation and/or amend the price of any of proposed itinerary before your tour is confirmed.
2.2 Tour fares are based on costs known, tariffs, rates, prices, taxes, levies, and exchange rates as at the date of reservation. In the event that there is subsequent increase in costs, and/or additional charges imposed by the airlines, hotels, MCPL’s agents and partners or other service providers after tour is confirmed, a surcharge may be charged in addition to your tour price.
2.3 As the itinerary bookings are made with local operators and prices are denominated in their local currency, MCPL is entitled to adjust tour prices when the currency rate fluctuates for more than five percent (5%) prior to tour confirmation.
3. Amendments Request by Customer, Cancellations and Refund

3.1 All amendment requests after the reservation is confirmed must be notified to us via email and it is subject to our availability and confirmation. A compulsory administrative fee of S$75.00 will be charged for each amendment requested by the Customer. A significant change or a change to most of the parts of the booking, including but not limited to, change of departure date, traveller’s identity/name (other than correction of typographical errors), change of itineraries and accommodation may be deemed as a cancellation of the reservation at our discretion, and cancellation charges will apply as per clause 3.2.
3.2 All cancellation requests must be notified to MCPL via email and shall be deemed accepted from the date we confirm acceptance of your cancellation request in writing. You shall be liable to pay a fee to cover any costs and expenses incurred by MCPL, and/or its agents, and/or its partners (“Cancellation Fee”). This Cancellation Fee is expressed as a percentage of the total price of your booking, tour package and travel arrangement (“Total Fare”) and is calculated as indicated below. All other contingent costs, additional administrative fees, taxes, or levies imposed on cancellation shall be borne by the Customer. Any non-refundable cost and/or taxes form any part of the Total Fare shall remain as non-refundable and the cost is borne by you. The cancellation fee condition applies to the rest of the Total Fare including land arrangement cost.
Cancellation charges per person (or the amount to be forfeited) are as follows:
For period of notice (exclusive of the departure date),

Within 60days prior to departure : 50% of total fare

Within 40days prior to departure : 100% of total fare

No show : 100% of total fare

3.3 For products and services booked through third party suppliers, including accommodation reservations and transportation arrangement such as Japan Rail Pass etc., you will also be subjected to the terms and conditions of respective third party suppliers and their cancellation fee/terms shall apply. MCPL reserves the rights to impose an administrative fee (to be determined at our reasonable discretion) for processing the cancellation.
3.4 Any flight change or cancellation requested by you (or initiated by the airline) after ticket is issued and/or payment received by MCPL, shall be subject to change fee or airline cancellation fee and this cost is in addition to the Cancellation Fee. Request to change flight itinerary and passenger name will be subject to the airline approval. Customer acknowledges that airfares are subject to change at any time, airfares and all applicable surcharges for flight cancellation might be one hundred percent (100%) non-refundable. These additional costs shall be borne by the Customer separately.
3.5 No refund shall be given for unused services with respect to accommodation, transportation, sightseeing tours, meals, or other services that are included in the tour price but not utilized or availed of by you.
3.6 In the case of unforeseen emergency and/or medical reasons that you would like to withdraw from a tour after commencement, you must notify us immediately in writing. The cancellation fee condition still applies, and no refund shall be made to you for any part of the tour, such as meals, transport, and sightseeing.
3.7 For payments made in Paynow, cheque or bank transfer, refunds (if applicable) will be made out in the form of payment as determined by us and will be processed within 30 days from the date the cancellation request is confirmed and accepted. For credit card payments, refund (if applicable) will be made through the respective credit card companies and will generally be processed within 30 to 60 days from the date the cancellation request is confirmed and accepted. Any applicable third party administrative fee or bank charges will be deducted from the total amount to be refunded to the Customer.

4. Itinerary Changes and Tour Cancellations by MCPL
​
4.1 MCPL reserves the right to cancel or re-schedule any tour itinerary at no cost to us, due to circumstances beyond our reasonable control, including, but not limited to, force majeure events.
4.2 All tour arrangements including transportation, accommodation, sightseeing, or other services are made through our appointed agents/service providers and partners. MCPL shall not be liable for any changes initiated or made by the relevant agents/service providers and partners that such services or arrangements might not be supplied or used due to operational limitation, delays or any other problems which are beyond our reasonable control. In such circumstances, whenever possible, MCPL will make reasonable effort to arrange for alternative services, accommodations or itineraries and there shall be no refund to the Customer in this connection. MCPL reserves the right to substitute hotels and/or tour guide, and to modify tour itineraries at our discretion, when deemed necessary.

4.3 In the event that a tour has to be cancelled prior to departure, MCPL endeavours to notify the Customers in writing and at our reasonable effort to propose an alternative itinerary and if applicable, new prices for your consideration and acceptance. Should you decide not to accept the proposed new itinerary and price, we shall refund the monies received from you for the initial tour booking without further obligation or liability on the part of MCPL. You shall be deemed to have agreed to release MCPL from all liabilities or damages in connection with the cancellation. Any mandatory expenses that have been prepaid in order to confirm the initial trip booking and non-refundable expenses from third party providers shall be deducted from the amount to be refunded.

5. Customers’ Responsibility
​
5.1 It is the responsibility of travellers who are in pregnancy, or have medical problems or who have health concerns, to make sure they have a certification from accredited physician/doctor that they are fit for travel. You undertake to make known to us with regards to your conditions upon reservation and/or prior to your trip departure. MCPL may cancel or withdraw any itinerary or booking made for you or decline to accept or retain any person as a member of a trip, if any such person behaviour is detrimental to or incompatible with the health, safety, enjoyment, interest, and welfare of the others. MCPL further reserves the right to cancel the reservation of a particular member or members of the trip, if for any reason, the carriers, hotels, or other operators do not allow the person to participate in the tour. Under such circumstances, tour fares that have been paid by the person shall not be refunded and MCPL shall not be held liable thereafter to the person.
5.2 The Customer acknowledges and agrees that MCPL shall not be liable for introducing, arranging, taking care of, or giving any medical treatment for you through our services. If the Customer is affected by any health and safety emergency during the trips, MCPL’s appointed agents, partners, any other authorized personnel shall have absolute rights to arrange for immediate evacuation of the relevant traveller, with or without consent of the traveller. In such circumstances, all additional costs arisen will be borne solely by the Customer. Please note you will need to contact your insurer and make claims against your insurer at your sole discretion, MCPL shall not accept any claims made to us.
5.3 The Customer shall be responsible to ensure that they understand the nature of trips/activities and agrees to undertake all itineraries at their own risk and at their voluntary participation. The Customers acknowledges and agrees to release MCPL from all claims and causes of action arising from any damages, injuries, or death results from these risks inherent in travel and participating in trip activities.
5.4 The Customer agrees to comply with non-smoking rules on all transport.
5.5 The Customer undertakes to use the property and/or equipment with care. In the event that our local service providers and/or partners raise a complaint or claim to us, with valid evidence, that the property, equipment, etc are damaged and/or not returned in its original condition during your stays/trips, we shall be compelled to hold you liable for the incidents and claims, until our investigation ends. You will be notified of the incidents and claims via email and given an opportunity to respond. You undertake to cooperate in good faith and provide all information as requested by MCPL during the investigation process.

6. Extended Stay
​
If you have arranged with MCPL to stay at a destination before or after your tour with us, please note that your extended stay shall be made at your own expense, and transfers to/from airport and hotel will not be provided.

7. Obligations
​
7.1 MCPL shall not be liable for any damage, loss, costs (including legal costs), charges, expenses, actions, proceedings, claims and demands which the customer or any other traveller may at any time sustain or suffer in connection with the non-performance by MCPL of its services in the event such non-performance is:
• as a result of fraud, wilful misconduct, wilful concealment or negligence on the part of the client;
• attributable to an act or omission on the part of the client;
• attributable to an act or omission on the part of a third party unconnected with the provision of the services contracted for;
• due to unforeseen or unusual circumstances beyond MCPL’s control, the consequences of which could not have been avoided even if due care had been exercised;
• due to any other event which MCPL, having acted with due care could not foresee or avoid.

7.2 MCPL shall be responsible where MCPL admits its wilful misconduct or gross negligence which caused you direct and actual losses, damage and/or costs. The direct and actual damages exclude any indirect, special, consequential, incidental, exemplary, or punitive damages, including lost profits, production, or revenues. In any case, the aggregate liability of MCPL shall be capped at the amount of Total Fare received by MCPL from the Customer.

7.3 Unless otherwise specified, none of the tour guides, employees, service providers or agents of MCPL are authorized by MCPL to commit to any arrangements on behalf the company. MCPL shall not be responsible for any expenses, claims, costs, losses, damages, or liabilities arising from such statements or representations.

7.4 MCPL assumes no liability to the travellers for any products, goods, food, or souvenirs purchased during the tour itinerary.
​
7.5 MCPL shall not be liable for its failure to perform any of its obligations hereunder if precluded by riot, epidemic (including COVID-19 or similar or dissimilar), power or communication line outage, war (whether declared or undeclared), terrorist act, fire, flood, tidal wave, earthquake, or other natural disaster, detention, annoyance, theft, third party’s default or failure of conveyance to arrive or depart as scheduled, change in government regulations, terrorism, nuclear accident, strike, lockout, civil unrest, or other labour trouble, acts or non-acts of any governmental entity or official, or any other cause beyond the reasonable control of MCPL.

7.6 Any and all claims against MCPL must be made in writing within seven (7) calendar days after the completion of the tour. Any claim made thereafter shall be deemed to be waived by the Customer and the Customer shall release MCPL from all obligations relating to the tour, the Contract and/or these Conditions.

8. Insurance
​
It is mandatory for you and all your members to obtain a comprehensive personal travel insurance to adequately cover your medical expenses, hospitalization, personal accident/injury, evacuation and repatriation, loss of personal effects and other expenses might be arisen in connection with the trip, as well as some unforeseen and unfortunate events including but not limited to, flight cancellations/delays, medical reasons, agents’ insolvency, or other force majeure events.

9. Important notes before departure
​
9.1 Each Customer shall be responsible for all visas, permits, necessary health requirements, and any other documents as required by laws, regulations and orders of the countries visited. It is the responsibility for each Customer to have a passport with a minimum of six (6) months validity and all necessary visas or entry permits. Your tour documents and all other relevant documents and travel literature will be sent to you prior to departure. MCPL shall not be responsible in the event the travellers are refused entry into the destination country for their failure to produce the necessary passport, visa and/or medical documentation as may be required.

9.2 It is your responsibility to be on time for checking in for your flights, and meeting at the pre-arranged location for ground travel arrangements.
​
9.3 All baggage and personal belongings are at all times your own responsibility and risk.
​
9.4 MCPL strongly recommends that you contact your doctor or health practitioner for up-to-date advice on the latest required medicine with regard to epidemics and diseases particular to the travel destination, or with regard to recommended inoculations and preventive medicines.

10. Accuracy of Brochure & Leaflet
​
10.1 Every effort is made to ensure brochure and leaflet accuracy at the time of publication. However, MCPL shall not be held responsible for printing or typographical errors, or errors arising from circumstances beyond the reasonable control of MCPL.
​
10.2 Prices shown in our brochure and/or leaflet are correct at the time of printing. However, these prices are subject to change due to increases in airfares, taxes or surcharges, other transport costs, hotel rates, government taxes, etc., and therefore MCPL reserves the right to increase the price accordingly without notice to the Customer.
​
11. Governing Law and Jurisdiction
​
11.1 These Conditions and/or the Contract shall be governed by and construed in accordance with the laws of Singapore.
​
11.2 Any dispute arising out of or in connection with these Conditions and/or the Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.
​
11.3 Unless expressly provided to the contrary in these Conditions and/or the Contract, a person who is not a party to these Conditions or the Contract has no right under the Contracts (Rights of Third Parties) Act, Chapter 53B of Singapore to enforce or to enjoy the benefit of any term of these Conditions and/or the Contract.

12. Data Protection
​
MCPL manages your personal data in accordance with our privacy policy. We are committed to complying with Singapore Personal Data Protection Act (No. 26 of 2012).
​
13. Complaints and Claims
​
Should you have any complaint or claim with regard to your trip, please submit to us in writing to the following address within seven (7) calendar days from the last day of the tour itinerary for our investigation. We shall not be held responsible with respect to any complaint and or claim not made within this stipulated period.
